摘要：

Corporate governance is one of the most important factors that affect the efficiency of the internal capital markets (ICM.) This paper focuses on the relationship between the corporate governance and ICM efficiency. It reviews and discusses how corporate governance put impact on ICM efficiency. It has several parts, including the ICM theories about effective and ineffective, and the review of literature on the relationship of corporate governance and the ICM efficiency. It also aims to improve further research from a logical starting point.
