摘要：
With the start of venture capital in our country, whether venture capital in which the government plays a leading role succeeds, to a certain extents depends on the efficiency of corporate governance in our current institutional environment. Based on the basic problems which should be solved by the efficiency of corporate governance in venture capital, this thesis mainly analyzes the governance structure and adaptability to the financial institutional environment of limited partnership, in order to be used for reference to the micro institution arrangement of venture capital in China.
