摘要：

This paper probes into the essence of expressway company, the share ownership structure of listed expressway company and the defects of its corporate governance by analyzing the present status of listed expressway company during the process of China's expressway construction system reform; clears and definites the necessity and importance to perfect corporate governance of expressway company; and makes some constructive suggestions to optimize the corporate governance of listed expressway companies according to the rules of law recently issued by China Securities Regulatory Commission.
