摘要
Equity incentive system is the innovation of salary mode developed along with the establishment of modern enterprise system of a distribution system and the system of property rights, is an effective solution to a mechanism of principal-agent problems. Company managers and key technical personnel to achieve certain conditions agreed upon in advance contribution to the company's case, the company's stock or other equity returns to them, so that the interests and company managers and key technical personnel's performance closely together, management personnel and technical personnel to improve the performance of the company core at the same time, work hard, their own personal interests can be satisfied, make the company managers and owners to achieve a win-win situation, so as to achieve the long-term development of the company. This paper takes the high-tech enterprise as the research object, the reason for the implementation of equity incentive of high-tech enterprises and the basic principle of the analysis, to explore the inner mechanism of equity incentive system have an impact on the performance of high-tech enterprises. The equity incentive system in the western development is very rapid, studies have shown that, the world 500 strong in more than 85% enterprises in the implementation of equity incentive, nearly 98% high-tech enterprises in the implementation of equity incentive. In our country, the equity incentive listing Corporation has become an important part of the construction of Modern Corporation governance system in our country. The equity incentive has become a focus in academic circles and industrial circles, but there are still a lot of confusion: Whether to implement? Equity incentive is there effect? How to implement? Therefore, carried out theoretical research on the listing Corporation's equity incentive mechanism, especially for in-depth analysis of high-tech enterprise incentive mechanism, the implementation of the China's high-tech listing Corporation equity incentive system, as well as China's capital market development has a very important significance.
